Terms and Conditions

1. Eligibility

By using the Services, you represent and warrant that you are at least eighteen (18) years of age or the legal age of majority in your jurisdiction and are otherwise competent to enter into a binding contract under applicable law. Where the Services are accessed by a minor, such access must be supervised by a parent or legal guardian who shall be deemed the user for all purposes of these Terms.

2. Services Provided

Aayu provides a digital health platform designed to store, structure, secure, and facilitate retrieval of medical and health-related records. The Services may include, without limitation, account registration, secure storage, authorized data sharing, artificial intelligence-driven insights, and related healthcare technology functionalities. Aayu does not provide medical advice, diagnosis, or treatment, and the Services are not intended to replace consultation with qualified healthcare professionals.

3. User Responsibilities

You agree to:

• (a) provide accurate, complete, and up-to-date information during registration and in all interactions with the Services;
• (b) maintain the confidentiality of your login credentials and restrict unauthorized access to your account;
• (c) use the Services only for lawful purposes and in compliance with applicable laws, regulations, and medical standards;
• (d) refrain from uploading, transmitting, or sharing content that is unlawful, offensive, misleading, or infringes third-party rights; and
• (e) promptly notify Aayu of any unauthorized use of your account or any breach of security.

You remain solely responsible for the accuracy and legality of all personal and health data submitted to Aayu.

4. License and Restrictions

Subject to compliance with these Terms, Aayu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You shall not:

• (a) copy, modify, reverse engineer, decompile, or disassemble any part of the Services;
• (b) use automated tools, scripts, or bots to access the Services without authorization;
• (c) attempt to gain unauthorized access to any systems, networks, or data; or
• (d) use the Services in any manner that adversely affects the operation, integrity, or security of Aayu's infrastructure.

5. Data Protection and Privacy

Your use of the Services is subject to Aayu's Privacy Policy, which governs the collection, use, storage, and disclosure of your personal data, including sensitive health data. By accepting these Terms, you consent to the processing of your personal data in accordance with the Privacy Policy.

6. Intellectual Property

All intellectual property rights in and to the Services, including but not limited to software, algorithms, databases, designs, user interfaces, trademarks, and content, are owned or lawfully licensed by Aayu. No rights, title, or interest in such intellectual property is transferred to you except for the limited license granted herein. Any unauthorized use of Aayu's intellectual property shall constitute a violation of these Terms and may result in legal action.

7. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Aayu disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and uninterrupted access. Aayu does not guarantee that the Services will be error-free, secure, or free of viruses or harmful components.

The Services are not a substitute for professional medical advice or treatment. You acknowledge that reliance on the Services without consulting qualified medical professionals may pose risks, for which Aayu shall bear no responsibility.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aayu shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or related to the use or inability to use the Services. Aayu's total liability for any claim arising under these Terms shall in no event exceed the amount paid by you (if any) to Aayu for the Services during the six (6) months preceding the event giving rise to liability.

9. Indemnity

You agree to indemnify, defend, and hold harmless Aayu, its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms or applicable laws; or (c) your infringement of the rights of any third party.

10. Termination

Aayu may suspend or terminate your account and access to the Services at any time, with or without notice, if you breach these Terms, misuse the Services, or as required by law. Upon termination, your right to use the Services shall immediately cease, and Aayu may delete your data in accordance with the Privacy Policy.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, to the extent Services are provided to users in India, and with the laws of the United Arab Emirates, to the extent Services are provided to users in Dubai or elsewhere in the UAE. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, India, or Dubai, UAE, as applicable.

12. Amendments

Aayu reserves the right to amend, modify, or update these Terms at its sole discretion. Any material changes will be communicated by appropriate means, including electronic notices or publication on the Aayu website. Continued use of the Services following such changes shall constitute your acceptance of the revised Terms.
